Comcast Corp. has agreed to purchase Time Warner Cable in an all-stock deal worth about $45.2 billion, in a move that will combine the top two U.S. cable operators. The boards of both companies have approved the proposed deal. The announcement likely marks the conclusion of an eight-month takeover battle waged by cable operator Charter Communications and its largest shareholder, Liberty Media. Cable Companies Move Toward Cloud-Based Set-Top Boxes

For the first time in more than six years, Comcast gained more video subscribers than it lost last quarter. The cable provider can attribute that growth to its new set-top boxes, which feature a searchable, cloud-based interface resembling that of a Roku, Apple TV or Google Chromecast. Time Warner Cable, which saw a decline in last quarter’s numbers, plans to release its own set-top box in hopes of boosting its subscribers and preventing cable cutting by customers. Charter Continues Pursuit of Time Warner Cable with New Bid

Charter Communications went public on Monday with its latest bid for Time Warner Cable. The $37.4 billion cash-and-stock proposal, submitted via letter from Charter CEO Tom Rutledge to TWC Chief Rob Marcus, follows three private offers submitted since June that have all been turned down by the nation’s second-largest cable company. TWC rejected the bid as “grossly inadequate.” Rutledge said Charter, the fourth largest cable operator, has no plans to increase the offer. Comcast Announces Major New Partnerships for SEEiT Platform

Twitter is taking another step toward TV integration, as new partners have signed on to leverage the social service and Comcast’s SEEiT platform. Originally available for Comcast Xfinity and networks owned by NBCUniversal, new partnerships will allow subscribers of Time Warner Cable, Charter and Cablevision Optimum to use SEEiT via set-top boxes. Discovery Programming to be Available via Online Streaming

Time Warner Cable and Discovery Communications have reached an agreement that will allow the cable company’s subscribers to watch shows from the Discovery Channel and Animal Planet online. Discovery had previously been holding out on letting its shows be streamed because it wanted better ratings measurement for viewers on mobile devices. Hulu is reportedly in talks with pay TV providers including AT&T, Comcast, Cox, Time Warner Cable and Verizon regarding potential partnerships. Among the ideas being discussed is for pay TV operators to sell Hulu Plus as part of their television bundles, said people familiar with the situation. LA Plans Fiber Network to Deliver Free Broadband and Wi-Fi

Los Angeles is poised to unleash an ambitious city-led broadband project with plans to deliver fiber to all of its businesses and 3.5 million residents. The new fiber network, expected to cost $3 billion to $5 billion, would offer free Internet access of 2Mbps to 5Mbps, likely subsidized by advertising. Paid tiers would offer access up to a gigabit, and the network would power Wi-Fi hotspots in public areas. Phone service and television is not a requirement for bidders, but package offerings would not be a surprise. Intel in Talks to Hand Over its Internet TV Project to Verizon

Intel has invested heavily in its plan to stream television over the Internet, but securing access to channels has been a challenge. The company is reportedly now in advanced negotiations to sell all or part of its yet-to-be-launched venture to Verizon, according to a person familiar with the talks. Netflix Sees Spike in Subscriber Base, Profits Remain Slim

Netflix posted its third quarter earnings yesterday, announcing that it has added 1.3 million U.S. customers. The video service ended the quarter with 29.93 million paid domestic users. While Netflix’s latest figures suggest the service has surpassed HBO and Showtime in number of U.S. customers, the company’s profit margin remains low in comparison to leading premium cable networks. AT&T to Take On Google with Super-Speed Internet in Texas

Google previously announced that Austin, Texas would join the Kansas City area in receiving its ultra-fast Google Fiber service. Now, AT&T says it will also offer gigabit fiber Internet in Austin, beginning in December. The company’s AT&T U-verse with GigaPower will initially provide 300 Mbps speeds, with an upgrade to a full 1 gigabit connection next year. Netflix Makes Super HD and 3D Options Available to All Users

Netflix is starting to provide all of its subscribers with access to Super HD and 3D content. The company announced that it is no longer obligatory for a subscriber to have Open Connect to access higher bitrate HD streams, as well as 3D titles. Netflix may face challenges convincing ISPs to adapt Open Connect; issues related to peering and local content caching are not completely resolved. Netflix also plans to unveil Ultra HD, with four times the screen resolution of HD, in 2014. Videogram, a service that can create a mosaic of scenes from an online video where users can view each portion, is showing up on more websites and video apps. The creator, a startup called Cinemacraft, has also announced that it will now offer Videogram on Twitter. The company has received funding from Turner Broadcasting and others. CBS and Time Warner Cable End Month-Long Contract Dispute

CBS and Time Warner Cable ended their contract dispute yesterday, restoring CBS, Showtime and related channels to cable subscribers in the New York, Los Angeles and Dallas markets. For one month, the two sides had been locked into a debate regarding fees related to rights for retransmitting content. Retaining digital rights in order to sell content to online distributors such as Netflix and Amazon was also an issue. CBS and TWC did not release specific information regarding terms of the agreement.
