DirecTV Terminates Deal to Merge with Rival EchoStar’s Dish

DirecTV has abandoned its proposed merger with Dish Network after EchoStar bondholders with $10.7 billion of debt in Dish and its DBS subsidiary rejected an exchange provision, dooming a deal that would have created the largest pay-TV service in the U.S. EchoStar announced it respects the decision and will continue to operate its own pay-TV brands. While DirecTV still believes the merger “would have benefitted all stakeholders,” it deemed the exchange necessary to protect its balance sheet operational flexibility, DirecTV CEO Bill Morrow explained. EchoStar Agrees to Sell Dish Network, Sling to Rival DirecTV

DirecTV has entered into a definitive agreement to acquire the Dish Network from EchoStar, realizing a long-time goal. The deal sees DirecTV paying Dish Network $1 for video distribution assets including Dish and Sling TV, and taking on $9.75 billion of Dish’s $20 billion in debt. The agreement does not include EchoStar’s wireless spectrum investments. Concurrently, AT&T has agreed to sell its 70 percent DirecTV stake to private equity firm TPG, which holds the other 30 percent. That deal is valued at $7.6 billion and is not contingent on the Dish acquisition, which is expected to close in Q4 2025. Combined, DirecTV and Dish will serve more than 18 million customers. Ergen Completes Dish Merger with EchoStar for 5G Moonshot

Satellite television pioneer Charlie Ergen has reunited his empire, having on December 31 completed the merger of Dish Network Corp. and EchoStar Corp. Ergen co-founded both companies and served as chairman of each prior to the merger. He now becomes executive chairman of the combined operation. Former EchoStar chief Hamid Akhavan was named president and CEO of the two companies in November and continues as operational head. Ergen feels his satellite infrastructure is well-situated for 5G. Dish, EchoStar to Merge in Play for Next-Gen Wireless Market

Charlie Ergen, founder and chairman of the Dish and EchoStar satellite broadband companies is merging the two units in an all-stock deal he says will better position his empire to compete with AT&T and Verizon in the market for next-generation wireless services. Dish, which operates Boost Mobile, currently has a deal with T-Mobile for 5G. FactSet places Dish’s current market value at just above $4 billion and EchoStar at nearly $2 billion. “This is a strategically and financially compelling combination that is all about growth and building a long-term sustainable business,” said Ergen. Dish Network Sets Shutdown Date for Sling Media’s Slingbox

Slingbox, the pioneering streaming device from Sling Media, will be permanently taken offline on November 9. The “place-shifting” technology that let people take pay-TV programming with them on mobile devices (and helped foster Internet streaming), is being shelved by parent Dish Network, which announced the shutdown in 2020. Sling Media was founded in 2004 and purchased by Dish parent EchoStar three years later for $380 million. Although the Slingbox was deemed “revolutionary,” it never achieved mass adoption, ultimately getting displaced by content-focused streamers like Netflix and YouTube. Sling TV to Offer Local Broadcasts, Streaming via AirTV Player

Streaming TV service Sling TV is debuting its own TV tuner box, according to news on the company’s website. The AirTV Player features the ability to receive local over-the-air TV channels via a digital antenna, as well as Sling TV’s standard streaming services, with optional Netflix. EchoStar’s Sling Media subsidiary and Dish’s Sling TV appear to have collaborated on the AirTV box, since “AirTV Player” and its logo are copyrighted by EchoStar. AirTV Combines HD Antenna and Sling TV for Local Channels

A new draft listing for Amazon.com features a $149.99 hardware device called AirTV that addresses the limitation of Dish Network’s Sling TV regarding access to over-the-air, local channels. “The device works with an antenna and Sling TV’s app in order to offer a combination of local live television programming and Sling TV’s content, including its program guide and optional add-on packages,” reports TechCrunch. According to the product listing, free local TV is accessible via the app on any compatible device via Android, iOS, Amazon Fire TV and Roku. New Slingbox Set-Top Box Shifts Content From Mobile to TVs

Slingbox, a subsidiary of EchoStar, just released its M2 set-top box, priced at $199. The new set-top box enables viewers to watch live, pay TV and DVR content over the Internet, anywhere and from any device. The M2 adds functionalities not available in the M1, which debuted in 2014, including the ability to shift content from mobile devices to TVs via Apple TV, Chromecast, Fire TV or Roku. Users will also be able to download the Slingplayer app on each device for free; the trade-off is viewing short pre-roll ads. Slingbox Introduces Two New Updates for Television Streaming

Slingbox is ready to debut new options to facilitate watching TV over the Internet. The $150 Slingbox M1 allows customers to use a live TV signal via the Internet on any computer, tablet or mobile device. The $300 SlingTV includes the features of Slingbox M1, but also has an on-screen interface that allows users to choose shows and control the television. Digital Cinema Consortium Plans to Acquire Satellite Network

The Digital Cinema Distribution Coalition — a consortium formed by AMC, Cinemark, Regal, Warner Bros. and Universal Pictures — signed a letter of intent to acquire the Deluxe/Echostar satellite network in a significant step toward updating the digital delivery of content to theaters and eventually eliminating the need to ship hard drives. Over the next 12-14 months, the consortium will pay to convert 699 Deluxe/Echostar screens to DCDC and add another 300 that were not yet deployed. MobiTV Aims to Power Over-The-Top Video Service Next Year

MobiTV reportedly has plans to power a service in 2014 that will introduce a new HDMI streaming stick or lightweight set-top box for playing Internet content on a TV set. While the company is not revealing who is behind the prospective service, it is likely that a broadband or wireless provider would use MobiTV to turn an OTT video service into something consumers can easily enjoy in their living rooms. DCDC Launches Digital Theatrical Delivery Service via Satellite

The Digital Cinema Distribution Coalition launched the industry’s first-ever digital theatrical delivery service yesterday. The service delivers films and other content to theaters via satellite. The DCDC initiative was founded by theater chains AMC, Regal and Cinemark, with Warner Bros. and Universal. Partnering with the remaining major studios and exhibitors Southern Theatres and National Amusements, the service will reach about 17,000 screens in 1,200 theaters.
