KKR Will Pay $1.62 Billion for Paramount’s Simon & Schuster

Paramount Global has agreed to sell publishing giant Simon & Schuster to private equity firm KKR for $1.62 billion in an all-cash transaction. Paramount Global President and CEO Bob Bakish said the transaction “delivers excellent value to Paramount shareholders while also positioning Simon & Schuster for its next phase of growth with KKR.” On closing, expected in the first half of 2024, Simon & Schuster will become a standalone private company under the continued leadership of President and CEO Jonathan Karp and COO and CFO Dennis Eulau. Backlash Prompts Twitter to Drop State-Affiliated Media Label

Twitter has reversed its decision to label public broadcasters as “government funded” or “state affiliated” — designations that under previous ownership were reserved for propaganda arms. The Friday move came after NPR and Canada’s CBC paused their Twitter accounts in protest. The BBC was also hit with a state-sponsored appellation. Outlets that challenged the state-sponsored appellation say only part of their funding comes from the government, and stress their terms include editorial independence. The reversal came one day after Twitter began removing the blue verification check marks from the accounts of thousands of non-paying users. How the DOJ Antitrust Publishing Lawsuit Relates to Amazon

The nation’s largest publisher, Penguin Random House, was in federal court this week to defend itself against the Justice Department, which filed an antitrust lawsuit to block its acquisition of Simon & Schuster. The DOJ has been increasingly focused on antitrust and is hiring more trial lawyers in preparation for an action against Alphabet’s Google for its dominance in search and digital advertising. Although ostensibly on trial for threatening to shrink the number of American mass-market publishers from five to four, the Penguin suit also involves examination of the retail power of Amazon. Publishers and Authors Guild Oppose Audible Text Feature

Audible, the audiobook app owned by Amazon, is using machine learning to transcribe audio recordings, so listeners can also read along with the narrator. Audible is promoting it as an educational feature, but some publishers are up in arms, demanding their books be excluded because captions are “unauthorized and brazen infringements of the rights of authors and publishers.” Publishers are concerned that this will lead to fewer people buying physical or e-books if they can get the text with an Audible audiobook. Amazon Opens Bookstore in NYC, Plans Six More This Year

Amazon just opened its seventh bookstore, a 4,000 square foot space, in the Time Warner Center at Columbus Circle in midtown Manhattan at the heart of the publishing industry. Nearby is the site of a bygone Borders bookstore in addition to publishers such as Penguin Random House, Simon & Schuster and Hachette Book Group. Amazon has committed to opening a chain of brick-and-mortar bookstores around the country, an irony given that the company’s online sale of books is often cited as a major factor in the demise of many bookstores nationwide. Amazon Bows Android App for Kid-Friendly FreeTime Service

Amazon rolled out a new Android app for its FreeTime service, which provides curated children’s content and parental controls similar to those found on Amazon’s Fire tablets. The FreeTime Web browser has vetted over 40,000 YouTube videos and websites as kid-friendly. FreeTime Unlimited offers more kid-centric content, including 10,000 books and videos from Disney, Nickelodoen, Amazon Studios, PBS Kids, Harper Collins, Sesame Street, Simon & Schuster and others, priced at $2.99 per month for Prime members and $4.99 for others. Publishers Raise Amazon Kindle E-Book Prices, Sales Plummet

Three big publishers that inked new pacts with Amazon to be able to set prices for their titles are now scratching their heads. The prices went up, but the sales went down. Lagardere SCA’s Hachette Book Group, News Corp’s HarperCollins Publishers and CBS Corporation’s Simon & Schuster all reported declining e-book revenues, despite the “win” of setting their own, considerably higher prices. Scribd Adds 9,000 Audiobooks to E-Book Subscription Service

Subscription service Scribd — the “Netflix for books” — now has 45,000 audiobooks in its library after striking a deal with Penguin Random House Audio. The new titles include popular works by Lena Dunham, John Grisham, and George R. R. Martin. According to Scribd, audiobooks have doubled the time users spend reading on the service. Audiobooks also help bolster Scribd’s catalog, which currently does not include digital books from two major publishers: Penguin Random House and Hachette. Amazon, Hachette Settle Long-Running Dispute Over E-Books

Amazon and Hachette have finally resolved their ongoing public dispute, which began back in January. Hachette will now have the ability to set its own prices for e-books and print books, but will be offered incentives for selling at lower prices. Despite yesterday’s announcement, seen by most as a victory for Hachette (in the short term), Amazon still controls almost half of today’s book trade. Simon & Schuster and Amazon Strike New Deal for E-Books

Publisher Simon & Schuster announced yesterday that it has negotiated a multiyear agreement with Amazon for print and electronic books. According to a letter signed by CEO Carolyn Reidy, the deal “is economically advantageous for both Simon & Schuster and its authors and maintains the author’s share of income generated from e-book sales.” The letter also indicates that the contract gives control of e-book pricing to Simon & Schuster, “with some limited exceptions.” Continue reading Simon & Schuster and Amazon Strike New Deal for E-Books

Apple’s Settlement in E-Book Case Will Likely Pay Consumers

Apple has ended its civil class-action lawsuit over the price of e-books with a settlement that is worth an estimated $100-$300 million. Last year, a federal judge ruled that Apple broke antitrust laws by driving up the prices of e-books in cooperation with five major U.S. publishers. If Apple’s appeal of last year’s case is unsuccessful, the tech giant may be paying out millions to e-book customers. The terms of the settlement also cancel a damages trial set for July. Small Bookstores Sue Amazon, Seek Open E-Book Market

Independent bookstores have filed a lawsuit alleging agreements between Amazon and six large book publishers violate federal antitrust law. The small bookstores cite the proprietary coding software that only allows users to read e-books on a Kindle or the Kindle app. They are making an argument for open-source coding that would allow for a more open e-book publishing market. Nearly two years (and three CEOs) after its intended start date, Bookish finally launched earlier this week. The company is backed by “big-six publishers Hachette, Penguin and Simon & Schuster” and intends to “promote book discovery and sell books,” writes paidContent.
