Microsoft Closes $69 Billion Acquisition of Activision Blizzard

Right on schedule and after a rocky start, Microsoft has closed the $69 billion acquisition of Activision Blizzard that regulators in the U.S. and UK had challenged. Big Tech is celebrating the move as a signal that their cash reserves can still be used to target expansion. The deal is consumer tech’s largest since AOL purchased Time Warner in a 2000 deal valued at more than twice that. Until now, Microsoft’s games unit, built around Xbox, has been a modest part of the company’s immense portfolio — representing just over 7 percent of total sales, or revenue of about $15 billion. Media Transition Enables AT&T to Focus on Building Out 5G

Earlier this week, AT&T announced a $43 billion deal to merge WarnerMedia with Discovery, three years after its $85 billion acquisition of Time Warner. The move marks AT&T’s pivot to a focus on its deployment of 5G. AT&T chief executive John Stankey said the company plans “to continue the momentum in our mobility business by stepping up our investment in our wireless network.” Other telcos have adopted a similar strategy, with Verizon selling AOL and Yahoo for $5 billion, and T-Mobile shuttering its T-Vision streaming service. AT&T Creates Media Giant: Merges WarnerMedia, Discovery

AT&T announced today that it plans to combine WarnerMedia with Discovery. The deal, expected to to take effect in mid-2022 subject to regulatory approval, is a significant move for one of Hollywood’s largest studios to compete with top streaming players such as Netflix and Disney since it would combine the HBO Max and discovery+ streaming services. Under the agreement, WarnerMedia will be spun off and merged with Discovery as a new media company separate from AT&T, which could be valued as high as $150 billion. Gray to Buy 17 Meredith TV Stations, Will Reach 113 Markets

Gray Television inked a deal with Meredith Corporation to acquire 17 TV stations for $2.7 billion, bringing its number of outlets to 101 stations serving 113 markets and reaching 36 percent of U.S. TV households. It is acquiring Meredith TV stations in Atlanta; Phoenix; Nashville; Portland, Oregon and other mid-sized markets. Meredith is refocusing its efforts on magazine publishing and digital assets. Gray will become the No. 2 U.S. broadcaster after Nexstar, with its 116 stations reaching 62 percent of U.S. TV households.

Verizon Is Selling AOL, Yahoo and Its Media Brands to Apollo

Telecom giant Verizon announced today that it is selling AOL, Yahoo and its Verizon Media assets, including its advertising technology business to New York-based private equity firm Apollo Global Management for $5 billion. LionTree LLC, a global investment firm focused on media and tech, was lead advisor on the deal and will join Apollo as an investor. The new company will keep the Yahoo name and will be led by Guru Gowrappan, the current CEO of Verizon Media Group. Verizon plans to keep a 10 percent stake in the overall business. Verizon to Launch Media Hub with Yahoo Branded Products

Verizon Media Group has three million subscribers across its Yahoo-related products such as Yahoo Fantasy and Yahoo Finance. In the future, explained Verizon Media head of consumer Joanna Lambert, the company’s media products will all be rebranded under the Yahoo rubric and reside in a subscription hub dubbed Yahoo Plus. Lambert said its non-Yahoo brands will, over time, also be centralized around Yahoo. For example, RYOT has already been rebranded Yahoo Ryot Lab and the women’s media brand MAKERS will be known as MAKERS by Yahoo. Verizon Adds More Wireless Subscribers via Disney+ Offer

Verizon Communications added 790,000 prepaid phone connections during Q4 2019, compared with 653,000 during the same period a year earlier, surpassing the expectations of JPMorgan Chase analysts who predicted 750,000 such connections. A free one-year Disney+ subscription for Verizon wireless customers may have helped lure new customers. AT&T added 229,000 postpaid connections and T-Mobile US added 1,000,000. Verizon to Sell Tumblr to WordPress Owner Automattic Inc.

Verizon announced that it is selling New York-based Tumblr to WordPress parent company Automattic Inc. Terms of the deal have not been formally announced, although some reports suggest that Automattic paid less than $3 million. Verizon purchased Tumblr in 2017 following its Yahoo acquisition; Yahoo paid $1.1 billion for the blogging platform four years earlier. Today, Tumblr is an active social networking hub and home to 475 million blogs. While it has a dedicated community, it does not share the same cultural impact as platforms such as Instagram, Snapchat and YouTube. Verizon Media Tackles Production Tech with Global Studios

Verizon Media (formerly Oath) now has production studios located in Australia, Brazil, Canada, Hong Kong, London, New York, Paris, Singapore, Sunnyvale and Taiwan. In addition, it built a 5G Los Angeles studio with plans to help pioneer new formats and production tech enabled by advanced 5G wireless connectivity. The worldwide facilities are being used by Verizon Media brands such as AOL, HuffPost, TechCrunch and Yahoo. The L.A. space — led by Verizon Media’s immersive media arm RYOT — is outfitted with full motion capture and volumetric capture stages. Super Bowl Expands to More Apps, Sets Streaming Records

While Super Bowl LIII between the New England Patriots and Los Angeles Rams experienced a drop in television viewership (Nielsen indicates the game generated an average audience of 98.2 million viewers), CBS revealed that streaming the event reached new popularity this year. According to the network, the Super Bowl was viewed by 100.7 million viewers across all platforms, including digital and streaming. CBS notes that the game was streamed on 7.5 million unique devices, marking a 20 percent jump over the previous year and a new streaming record for the Super Bowl. Verizon Announces 5G Wireless Deals With Apple and Google

Apple and Google will be the first video providers for Verizon’s superfast 5G wireless service, slated to launch later this year in Houston, Indianapolis, Los Angeles and Sacramento, California. According to those familiar with Verizon’s plan, customers of the home broadband service will have the option to access live television via a free Apple TV box or a free subscription to the YouTube TV app. Verizon plans to introduce online services using 5G technology that matches or exceeds the speeds of landline offerings. Vestberg Named Next Verizon Chief Exec, McAdam to Retire

Verizon CEO Lowell McAdam announced he plans to step down from his position on August 1, at which point Hans Vestberg will take over as chief exec. Vestberg joined Verizon last year as the company’s chief technology officer and EVP and president of Global Networks, after serving for seven years as CEO of Swedish telecom and networking company Ericsson. McAdam has been Verizon’s CEO since August 2011 and its chairman since January 2012. He will remain executive chairman until the end of the year and serve as non-executive chairman thereafter. EU Data Law Soon Goes into Effect, May Spark Privacy Debate

On May 25, the European Union’s General Data Protection Regulation (GDPR) goes into effect. Although the law bans companies from forcing its users to give up personal data as a condition of service, it allows for exceptions, such as when the information is necessary to fulfill a contract. Those exceptions are the new battlefield over privacy issues, including what “freely given” consent means. At the crux is “behavioral advertising,” worth billions of dollars annually, that targets users based on their Internet activity. Security Update: 3 Billion Yahoo Accounts Hit in 2013 Attack

Yahoo announced yesterday that all 3 billion of its user accounts were affected by a previously disclosed August 2013 cyberattack, originally reported by the company as affecting 1 billion accounts. Mobile Companies Offer TV, Video and Music to Slow Churn

AT&T and T-Mobile are luring in new subscribers and holding on to existing ones by offering popular television content, including “Game of Thrones” and “Stranger Things.” T-Mobile, which now has an exclusive deal with Netflix, is offering free access to the streaming video service for subscribers who buy its unlimited family plan. AT&T expanded its HBO promotion to a larger circle of subscribers. In April, it offered free HBO to its Unlimited Plus Choice subscribers, and now expanded that to anyone with an Unlimited Choice plan.
